Transactional Business Attorney

Job Overview

A law firm seeks a Transactional Business Attorney in Annapolis, MD. This leadership role is ideal for a business-minded legal professional eager to grow a team and shape the department's future. The successful candidate will oversee and mentor a team of attorneys and paralegals, collaborating with firm leadership to execute strategic initiatives.

Duties

• Draft, review, and negotiate commercial contracts, including vendor agreements and NDAs.
• Advise on legal risks and business terms related to corporate transactions.
• Lead and support M&A activities, including due diligence and deal structuring.
• Ensure compliance with corporate governance and regulatory requirements.
• Collaborate with cross-functional teams such as finance and operations.
• Manage and mentor junior attorneys and paralegals.
• Develop strategies to grow the business transactional practice.
• Coordinate with external counsel for specialized legal matters.
• Monitor changes in laws and regulations impacting the business.

Requirements

• Juris Doctor (JD) from an accredited law school.
• Active bar membership in good standing.
• 5+ years of experience in corporate and transactional law.
• Proven expertise in contract law and corporate governance.
• Previous management or team leadership experience preferred.
• Strong negotiation and communication skills.
• Ability to manage multiple projects autonomously.
• Entrepreneurial spirit and interest in growing a practice area.
• Business acumen and pragmatic legal solution skills.

Education

• Juris Doctor (JD) from an accredited law school.

Certifications

• Active bar membership in good standing.
