JOB TITLE: Assistant Manager - Contracts

EXPERIENCE: 3-4 years in EPC / water projects / water treatment sector /MEP/Solar in their

execution & Contracts Administration.

LOCATION: Mumbai

QUALIFICATION: B.E. Civil

Job Description

  • Have good experience on understanding all the components of contracts - Non-Disclosure

Agreements, Sales / Purchasing Agreements, Sub-contracts, Consulting Agreements,

Licensing Agreements, Master Agreements, review of customer proposed terms and

conditions. Commercial and Public (Central, State and Local Municipalities) Contracting.

Drafting Experience Will Be Additionally Desired Trait.

  • Ensure that signed contracts are communicated to all relevant parties to provide contract

visibility and awareness, interpretation to support implementation. Communicate

properly, in order to clarify and to get resolved with any potential miscommunication or

other deviations on Tender / Project / Construction.

  • Coordinate with support services including with F&C, for contractual insurance

requirements & maintain and ensure adherence to finance and risk requirements such as

budgeting, revenue recognition, tender/project Cash flow etc.

  • Monitor transaction compliance (milestones, deliverables, invoicing etc.); Prepare

document and Ensure contract close-out, extension or renewal.

  • Coordination with internal & external agencies / departments. Resolving disputes in the

contracts in a timely manner. Team up with site manager, construction managers,

engineers, sub-contractor and customer.

  • Contracts Drafting and Execution; Prepare Contract Appreciation Document (CAD),

support preparation of EOT Applications and Claims, Maintain contractual records and

documentation such as receipt and control of all contractual correspondence by and

between the Company and the Customer/Clients, Customer contact information sheets,

Contractual changes, status reports and other documents for all projects.

  • Provide support on contract matters to project managers or other operational staff,

including training them in Contract management/contracting practices and procedures.

Roles And Responsibilities Vis-à-vis Other Departments

  • Business Development;

Review the Tender Documents, highlight the onerous provisions for abatement or

allocation of risks.

Preparation of Prebid queries.

  • Operation Team

Contractual Correspondence first cut draft preparation.

Initiating/reviewing/preparation of various claims escalated by the Project Team/Project

Manager/BU Head.

Drafting/Preparation/Finalization of various contract agreements such as

settlement/triparty/service/rental.

Project Disputes.

Negotiation/Meeting with the Client.

  • Finance and Compliance Team

Vetting of various contract documents such as NDA/agreements/BGs/Indemnity Bond.

Action on Internal Audit pointers.

  • Procurement Team

Preparation of the Agreement/Letters /MOUs.

Vetting of the Terms and conditions of PO/WO.

Negotiations/Meeting with the Client.

Vendor disputes.

  • Corporate Legal

Follow-up for the cases under litigation/dispute.

Timely escalation of the new litigation cases to our Corporate Legal team.

Support for Documentation.
