Overview

We are seeking a Funds Attorney (Counsel or Associate Counsel) to join a lean, high-functioning legal and compliance team within a boutique registered investment advisory firm based in Arlington, VA.

This role is designed to provide immediate leverage to the General Counsel by taking primary ownership of fund-related legal work. Success in this role requires a high degree of precision, consistency, sound judgment, and strong project management skills to manage a steady volume of detail-intensive work under time-sensitive conditions.

The position involves managing a consistent volume of fund reviews and side letter negotiations, where accuracy, consistency, and documentation quality are critical. The work is highly detail-oriented and process-driven and requires comfort operating within structured frameworks and maintaining audit-ready outputs.

The ideal candidate is a disciplined, detail-oriented attorney who is comfortable operating independently within established processes, and who takes pride in producing accurate, well-documented work that stands up to internal and external scrutiny.

Responsibilities

Legal Documentation

  • Independently lead legal review of private fund investments including LP interests, co-investments, and separate accounts
  • Draft, review, and negotiate a high volume of side letters, ensuring consistency across agreements and alignment with internal standards, client requirements, and prior positions
  • Analyze fund documentation (e.g., LPAs, PPMs, side letters) with strong attention to detail
  • Support client-related legal needs and investor-specific requirements

Operations and Process Management

  • Manage multiple concurrent matters with reliable turnaround and prioritization
  • Maintain clear, organized, and audit-ready documentation of legal reviews, decisions, and negotiated outcomes
  • Operate within structured processes, templates, and workflows to maintain consistency
  • Coordinate with external counsel while retaining ownership of quality and timelines
  • Partner with investment and Operational Due Diligence (ODD) teams to support diligence and execution

Compliance and Risk Management

  • Ensure alignment with regulatory and compliance requirements
  • Assess and implement improvements to legal and regulatory risk management
  • Assist with our fund complex governance

Qualifications

Required Qualifications

  • J.D. and active bar membership
  • 5–9+ years of relevant experience at a law firm and/or in-house asset management
  • Strong familiarity with private fund structures and documentation
  • Experience reviewing and negotiating LPAs and side letters
  • Proven ability to manage high-volume, detail-intensive work
  • Experience with internally managed funds

Preferred Qualifications

  • Experience with OCIO or institutional investors
  • Exposure to operational due diligence
  • Familiarity with ERISA and institutional client requirements
