Job description

As Senior Corporate Counsel, you will serve as a trusted legal advisor to business leaders across Spire, partnering closely with our Federal Sales, Government Programs, Executive Leadership and cross-functional teams. You'll advise on complex commercial transactions, government contracting matters and strategic initiatives while helping the business navigate an evolving regulatory environment.

This is a highly visible role for a commercially minded attorney who enjoys solving complex problems, influencing business decisions, and working across a fast-paced, innovative technology company.

Responsibilities

  • Serve as lead legal advisor for U.S. Federal Sales and Government contracting activities.
  • Draft, review and negotiate a wide variety of commercial agreements, including government contracts, subcontracts, teaming agreements, NDAs, licensing agreements and strategic partnerships.
  • Provide legal guidance throughout the government procurement lifecycle, including proposal support, contract negotiations and post-award contract management.
  • Advise internal stakeholders on federal acquisition regulations, government compliance requirements and contractual risk.
  • Support U.S. Defense market opportunities and collaborate with business leaders on strategic customer engagements.
  • Partner closely with Sales, Finance, Security, Compliance, HR and Executive Leadership to provide practical, business-focused legal advice.
  • Identify legal and commercial risks while developing pragmatic solutions that enable business growth.
  • Support international commercial contracting and broader corporate legal matters as required.
  • Contribute to the development and improvement of legal processes, contract templates and internal policies.
  • Manage outside counsel where appropriate and provide guidance on specialized legal matters.
  • Take ownership of special projects and emerging legal issues across the business as Spire continues to grow.

Who You Are

You are a strategic, business-oriented attorney who enjoys working close to the business rather than simply advising from the sidelines. You thrive in dynamic environments, build strong relationships across multiple functions, and are comfortable balancing legal risk with commercial objectives.

You have excellent judgement, strong negotiation skills and the ability to simplify complex legal issues into practical business advice.

Qualifications

Required

  • Juris Doctor (JD) from an accredited law school.
  • Active membership in good standing with at least one U.S. State Bar.
  • Approximately 10+ years of legal experience, including significant experience supporting sophisticated commercial transactions.
  • Extensive experience drafting and negotiating complex commercial agreements.
  • Strong knowledge of U.S. Government contracting principles and Federal procurement.
  • Experience supporting Federal Sales organizations or Government customers.
  • Outstanding negotiation, communication and stakeholder management skills.
  • Ability to manage multiple priorities in a fast-paced, evolving environment.
  • Strong commercial judgement with a pragmatic, solution-oriented approach.

Preferred

  • Experience supporting U.S. Defense programs and customers.
  • Active U.S. Security Clearance (TS/SCI preferred), or the ability to obtain and maintain one.
  • Experience working with ITAR and U.S. export control regulations.
  • Familiarity with FAR, DFARS and other federal acquisition regulations.
  • Experience supporting aerospace, satellite, defense, government technology or SaaS businesses.
  • Prior in-house counsel experience within a high-growth technology company.

Spire operates a hybrid work model, and this position will require you to work a minimum of three days per week in the office.

Access to US export-controlled software and/or technology may be required for this role. If needed, Spire will arrange the necessary licenses—this is not something candidates need to have before applying.

The anticipated base salary range for this position is listed below. Final base salary for this role will be based on the location, skills, experience and qualifications. In addition to base compensation, this role may be eligible for annual equity awards and our employee benefits program, including vacation, sick, and personal time off; optional medical, dental, vision, life, and disability coverage; a 401(K) plan; health and wellness reimbursement program; and participation in Spire’s Employee Stock Purchase Plan.

Salary Range: $202,500 USD - $238,500 USD
