Job description

We are partnering with a rapidly growing distributed generation renewable energy platform to appoint a Deputy General Counsel focused on project development, project finance, M&A, and strategic transactions.This is a highly visible leadership role sitting at the center of the business, partnering directly with the General Counsel, the successful candidate will serve as a trusted advisor across all stages of the project lifecycle, from site acquisition and development through financing, construction, operation, and portfolio monetization.This position is intended as the clear successor to the General Counsel, with a defined pathway toward assuming the GC role within 18–36 months as the business continues its expansion.What Makes This Opportunity Different This role offers the opportunity to:Move from advising transactions to driving them.Partner directly with executive leadership on strategic decision-making.Work across development, finance, M&A, and investment functions rather than operating solely within a legal silo.Influence how projects are originated, structured, financed, and ultimately monetized.Play a leadership role in building one of the industry's fastest-growing distributed generation platforms.Position yourself for a future General Counsel appointment.Key Responsibilities Act as a strategic legal and commercial partner to the Development team throughout the project lifecycle.Structure and negotiate key development agreements, site control arrangements, acquisition opportunities, interconnection‑related transactions, and project‑level commercial arrangements.Advise on project bankability, development risk allocation, and transaction structuring considerations.Partner with development leadership to advance projects from origination through notice‑to‑proceed and commercial operation.Project Finance & Capital Markets Lead legal execution of tax equity financings, warehouse facilities, construction financings, back‑leverage facilities, and other structured capital solutions.Collaborate with capital markets and finance teams to develop innovative financing structures supporting platform growth.Negotiate and manage lender, investor, and financing documentation.Support portfolio‑level capital formation initiatives and institutional investment partnerships.M&A, Joint Ventures & Strategic Investments Lead acquisitions, divestitures, platform investments, and joint venture transactions.Structure and negotiate Membership Interest Purchase Agreements (MIPAs), Purchase and Sale Agreements, Joint Venture Agreements, partnership arrangements, and related transaction documents.Manage transaction diligence processes and coordinate external counsel.Support portfolio acquisitions and strategic growth initiatives across solar, storage, and distributed infrastructure assets.Serve as a key advisor to executive leadership on strategic growth initiatives.Help align development, financing, operations, and asset management functions to support a fully integrated IPP model.Provide practical, commercially focused advice that enables growth while appropriately managing risk.Participate in executive‑level discussions regarding capital deployment, portfolio strategy, and long‑term value creation.Candidate Profile 8–15+ years of experience gained within a leading law firm and/or renewable energy platform.Strong background in project development, project finance, energy transactions, infrastructure, or renewable energy M&A.Experience representing developers, sponsors, lenders, tax equity investors, infrastructure funds, or strategic investors.Deep familiarity with renewable energy development and financing structures.Experience drafting and negotiating complex transaction documentation, including MIPAs, JV agreements, financing agreements, and development contracts.Commercially minded with the ability to balance legal considerations against business objectives.Interested in becoming a business leader and strategic advisor, not simply a legal reviewer.Motivated by the opportunity to ultimately step into a General Counsel role.Preferred Backgrounds We are particularly interested in attorneys currently practicing within:Project Development.Project Finance.Renewable Energy Transactions.M&A / Strategic Transactions.Candidates may come from leading law firms, renewable energy developers, IPPs, infrastructure funds, private equity sponsors, or strategic energy companies.#J-18808-Ljbffr
