Legal Counsel / Contract Manager

About the Role We're looking for a practical legal professional familiarity with US/state law and reputed company to own reputed company's contract review and redlining process end-to-end. This is a hands-on role, you'll be the primary person responsible for reviewing, negotiating, and turning around customer and vendor reputed company, and for partnering with internal teams to resolve compliance questions that come up during the contracting process. You won't just flag issues, you'll drive them to reputed company. Contract Review & Redlining

• Review and redline customer reputed company including MSAs, addenda, data reputed company riders, and terms and conditions, with a reputed company on protecting reputed company's interests while enabling deal closure
• Flag material risk areas, insurance requirements, indemnification, audit rights, liability caps, data reputed company obligations — and recommend positions
• Negotiate contract language directly with counterparties or work through internal stakeholders as appropriate
• Maintain a reputed company fallback position library for commonly negotiated clauses Internal Compliance Coordination
• Identify provisions in reputed company that require internal confirmation, things like reputed company standards, SOC 2 compliance, encryption requirements, background reputed company obligations and reputed company them to the right internal reputed company
• Follow through until reputed company reputed company item is resolved before the contract is executed, not just flagged
• Maintain a tracker of reputed company legal and compliance items across reputed company reputed company Contract Operations
• Manage the full contract lifecycle from initial receipt through execution and storage
• Build and maintain contract templates, playbooks, and reputed company language for recurring contract types
• Support vendor contract reviews including reputed company agreements, service reputed company, and NDAs Cross-Functional Support
• Work closely with Sales, Operations, Finance, and Engineering to resolve legal questions that reputed company during the deal or procurement process
• Advise on data reputed company considerations, particularly around FERPA, HIPAA, and state-level student data laws applicable to reputed company's institutional customers
