The Opportunity:
The Commercial Contracts Specialist owns the full contract lifecycle for Procom across both the Consulting and Workforce lines of business. This role is introduced as a dedicated commercial negotiation capability to extract the contracting function from Account Managers, who face an inherent conflict of interest between preserving both new and existing client relationships and negotiating firm-favourable terms. The Specialist partners with Account Managers on the front end of client engagements, is introduced to the client as a commercial subject matter expert and then owns the negotiation process through to execution. The role reports to the CRO within the Growth Office with a dotted line to the General Counsel, signaling to the sales organization that this function exists to enable revenue, not to create bureaucratic friction.
Job Responsibilities:
- Lead all MSA, SOW, and rate card negotiations with clients across Consulting and Workforce, balancing commercial position with client experience
- Negotiate contract terms within a defined authority band established by Legal and the Senior Leadership Team; escalate non-standard positions through the appropriate approval path
- Manage the end-to-end contracting process from initial client introduction through executed agreement, including renewals and amendments
- Maintain pace and urgency in the negotiation cycle to minimize friction and delays
- Maintain deep working knowledge of Procom’s standard commercial and legal terms, target positions, and acceptable negotiation ranges as defined by Legal and SLT
- Identify commercial risks in client-proposed terms and recommend mitigation strategies before escalation
- Encourage consistency of contract terms across channels, LOBs, (where applicable, and client segments to the greatest extent, in order to prevent margin leakage from ad hoc concessions
- Partner with Account Managers to create a seamless client experience where the AM retains the relationship and the Contracts Specialist owns the commercial negotiation workstream
- Serve as the primary liaison between the sales organization and Legal, translating commercial intent into contractually sound language and vice versa
- Build trust with the sales team by demonstrating that the Contracts function facilitates and accelerates deals allows them to focus on sales
- Enter contract expiry dates into the client portal upon execution to enable automated renewal notifications
- Coordinate with Legal’s administrative support to maintain the contract repository and ensure document accessibility
- Track negotiation cycle times, identify recurring bottlenecks, and recommend process improvements to reduce time-to-execution
Job Requirements:
- 5+ years of commercial contract negotiation experience in professional services, IT outsourcing, staffing, BPO, or adjacent industries
- Demonstrated experience negotiating MSAs, SOWs, and rate-based commercial agreements with enterprise clients
- Direct experience interfacing with client procurement and/or legal teams during negotiations
- Post-secondary education in business, law, or a related discipline (or equivalent professional experience)
- Bilingual fluency in English and French (spoken and written) — required for serving Procom’s full client base across English- and French-speaking markets
- Strong understanding of commercial contract structures including rate card & rebate structures, indemnification, liability caps, and payment terms
- Proven client-facing presence with the ability to represent the organization credibly in negotiations with senior procurement and legal counterparts
- Ability to work within defined commercial authority bands and exercise sound judgment on when to escalate

- Strong analytical skills with the ability to spot inconsistencies, gaps, and ambiguities in draft agreements
Differentiating Factors:
- Sell-side commercial contracting experience (as opposed to buy-side only) within a medium or large organization
- Ability to exercise judgement within established boundaries
- Prior experience in the staffing or contingent workforce industry
- Experience negotiating within MSP channel environments (AGS, Pontoon, Kelly OCG, or similar) or within a large procurement organization
- Contract management certification (e.g., CCCM, CCMP, SCMP, CPSM)
- Formal negotiation training (e.g., Stitt Field Handy Group training and Rotman School of Business – or equivalent)
- Familiarity with CRM platforms and contract management systems
- Bilingual ability (French/English)
- Working knowledge of Canadian or US employment/labor standards
