Key Responsibilities – Manager (M&A Advisory)
Transaction Execution & Deal Management
- Lead end-to-end execution of M&A transactions including buy-side, sell-side, mergers, divestitures, and strategic partnerships
- Manage deal lifecycle from pitch to closure, ensuring timelines, quality, and client satisfaction
- Work closely with senior leadership on deal structuring and negotiation
Financial Modeling & Valuation
- Build, review, and oversee detailed financial models including operating models and valuation models (DCF, comparable companies, precedent transactions)
- Conduct scenario and sensitivity analysis to assess deal feasibility and returns
- Provide strategic inputs on valuation, pricing, and transaction structuring
Client Relationship Management
- Act as a key point of contact for clients including promoters, CXOs, and corporates
- Understand client objectives and provide strategic advisory on inorganic growth and divestitures
- Support senior team in managing and growing client relationships
Buyer / Investor Outreach & Coordination
- Identify and engage with strategic buyers, private equity funds, and institutional investors
- Manage buyer interactions, meetings, and negotiations
- Track investor interest, feedback, and progress of discussions
Pitchbooks & Deal Marketing
- Lead preparation of pitchbooks, teasers, and information memorandums (IMs)
- Develop compelling deal positioning and investment narratives
- Ensure high-quality standards in presentations and marketing materials
Due Diligence & Transaction Management
- Manage financial, commercial, legal, and tax due diligence processes
- Coordinate with internal teams, clients, and external advisors
- Oversee data room management and ensure timely closure of diligence requirements
Industry & Market Research
- Conduct sector analysis, track M&A trends, and evaluate comparable transactions
- Identify potential acquisition targets and buyers
- Support business development through market insights
Team Management & Review
- Mentor analysts and associates and review their work outputs
- Ensure accuracy, quality, and consistency in financial models and deliverables
- Drive team efficiency in a fast-paced execution environment
Pipeline Management & Reporting
- Maintain and track deal pipeline, timelines, and key milestones
- Provide regular MIS, updates, and insights to senior leadership
- Ensure proper documentation of deal progress
Regulatory & Compliance Awareness
- Ensure compliance with SEBI regulations and applicable transaction guidelines
- Maintain adherence to internal processes and governance standards
Ideal Candidate Profile
- CA / MBA (Finance) / CFA (preferred) from a reputed institution
- 4–8 years of experience in M&A, investment banking, or transaction advisory
- Strong experience in deal execution, financial modeling, and valuation
- Proven ability to manage transactions and stakeholder relationships
- Exposure to buy-side and sell-side transactions preferred
- Excellent analytical, communication, and negotiation skills
- Ability to work in a fast-paced, deal-driven environment
