Job Description
As an Associate in Corporate Legal at our company, you will be responsible for a variety of tasks related to corporate law. You should have a minimum of 2-4 years of experience in this field and be based in Bangalore with no work-from-home option. Your main duties will include:
- Drafting and reviewing legal documents such as term sheets, shareholders' agreements (SHA), share subscription agreements (SSA), employee stock option plans (ESOPs), convertible notes, fundraise agreements, transactional documents, and M&A documentation.
- Providing legal advice on corporate governance, regulatory compliance, contractual obligations, and risk management to clients and internal stakeholders.
- Supporting legal due diligence processes for mergers, acquisitions, and other corporate transactions by analyzing potential risks and offering guidance on mitigation strategies.
- Participating in contract negotiations to ensure organizational interests are protected and contractual terms align with legal requirements and best practices.
- Monitoring changes in laws and regulations related to corporate governance, securities, and other relevant areas to advise on compliance requirements and implement necessary measures.
- Conducting legal research to stay informed on laws, regulations, and industry best practices, providing insights and recommendations based on legal precedents and emerging trends.
- Assessing legal risks associated with business decisions and offering proactive strategies to minimize potential liabilities and disputes.
- Collaborating with internal teams to provide legal support and ensure corporate activities comply with legal requirements and best practices.
- Demonstrating flexibility with working hours when required and working independently to analyze legal provisions and address legal challenges.
Qualifications and Requirements:
- LLB (Mandatory) and LLM (Preferable) degrees, with a background in B.Com or CS.
- Minimum 2-3 years of corporate law experience in a law firm or in-house legal team.
- Strong knowledge of Companies Act, FEMA, SEBI regulations, and transaction structuring.
- Proficiency in MS Office (Word, Excel, PowerPoint) and excellent drafting, communication, and analytical skills.
- Ability to work independently in a fast-paced and dynamic environment, with flexibility in working hours.
