Associate Lawyer, Corporate M&A

About Us

Our client is a leading Bay Street law firm with a strong and growing corporate practice, advising on a broad range of private M&A and select capital markets transactions.

Responsibilities

• Advise on a range of corporate matters, with a focus on private M&A transactions
• Support on select public and capital markets matters as needed
• Draft, review, and negotiate transaction documents, including share and asset purchase agreements and ancillary agreements
• Manage deal processes, including due diligence, closing coordination, and transaction execution
• Work closely with partners and senior lawyers across multiple mandates
• Coordinate with internal teams as required across corporate and securities matters
• Manage files with partner oversight and increasing autonomy
• Support partners on active corporate and transactional mandates

Requirements

• Member in good standing of the Ontario Bar
• 2–4 years of call
• Training at a reputable firm in corporate law
• Strong experience in private M&A transactions
• Exposure to public or capital markets is an asset but not required
• Ability to run files with confidence and work efficiently with partner supervision
• Strong work ethic with demonstrated billable capacity
• Commercially minded, detail-oriented, and proactive
• Adaptable, responsive, and comfortable in a fast-paced environment
• Strong communication skills and team-oriented approach
• Entrepreneurial, reliable, and motivated mindset
