Job Description

Our client, a rapidly growing financial institution, is seeking a highly analytical and experienced Senior Financial Analyst specializing in Mergers & Acquisitions (M&A) to join their team in Vadodara, Gujarat, IN . This role is critical in supporting the company's strategic growth objectives through the identification, evaluation, and execution of potential acquisitions, divestitures, and joint ventures. The successful candidate will be responsible for conducting in-depth financial analysis, market research, and due diligence for prospective M&A targets. Key responsibilities include developing complex financial models for valuation, accretion/dilution analysis, synergy assessment, and deal structuring. You will collaborate closely with senior management, legal counsel, and external advisors throughout the transaction lifecycle. This position demands exceptional quantitative skills, a strong understanding of corporate finance principles, and the ability to navigate complex deal dynamics. The Senior Financial Analyst will also be involved in preparing investment committee materials, post-merger integration planning, and monitoring the financial performance of acquired entities. Excellent communication, negotiation, and presentation skills are essential, as is the ability to manage multiple high-priority projects simultaneously in a fast-paced environment. A Bachelor's degree in Finance, Accounting, Economics, or a related field is required, along with a minimum of 5-7 years of relevant experience in investment banking, corporate development, private equity, or financial advisory with a strong focus on M&A. CPA or CFA designation is highly preferred.

Responsibilities

Perform financial analysis, valuation, and due diligence for potential M&A transactions. Develop and maintain detailed financial models, including LBO, DCF, accretion/dilution, and comparable company analyses. Conduct market research and identify potential acquisition or divestiture targets. Prepare presentations and materials for senior management and investment committee reviews. Assist in deal structuring, negotiation, and transaction closing processes. Collaborate with internal and external stakeholders, including legal counsel and external advisors. Support post-merger integration efforts by analyzing financial performance and identifying synergies. Monitor financial performance of acquired companies and provide insights. Stay abreast of industry trends, economic conditions, and regulatory changes impacting M&A activity. Assist in preparing financial forecasts and strategic plans related to corporate development. Qualifications:

Bachelor's degree in Finance, Accounting, Economics, or a related field. Minimum of 5-7 years of experience in M&A, investment banking, corporate development, or financial advisory. Proven experience in financial modeling, valuation, and due diligence. Strong understanding of corporate finance principles and accounting standards. Excellent analytical, quantitative, and problem-solving skills. Proficiency in Microsoft Excel and PowerPoint. Strong written and verbal communication skills, with the ability to present complex information clearly. CPA or CFA designation is highly desirable. Ability to manage multiple projects and work effectively under pressure. High level of attention to detail and accuracy.
