Job Description
The Chief Financial Officer (CFO) is responsible for the overall financial leadership, strategic planning, treasury management, forecasting, risk management, employee benefit administration, and retirement plan oversight of the organization. As a wholly owned subsidiary of a publicly traded company, this role carries specific obligations related to parent company reporting, regulatory compliance, and audit coordination. The CFO serves as a key member of the executive leadership team, providing financial guidance that supports sustainable growth, operational efficiency, regulatory compliance, and long-term organizational objectives.
KEY RESPONSIBILITIES:
Financial Leadership & Strategy
- Develop and execute the organization's financial strategy in alignment with corporate goals and parent company directives.
- Provide strategic financial analysis and recommendations to the CEO and executive leadership team.
- Lead annual budgeting, long-range planning, and financial performance management.
- Oversee financial reporting, accounting operations, internal controls, and compliance activities.
- Monitor key financial metrics and drive initiatives to improve profitability, cash flow, and operational performance.
- Oversee capital allocation decisions, including CapEx planning and prioritization.
Parent Company & Public Reporting Obligations
- Oversee the delivery of accurate, timely financial packages to the parent company in accordance with established reporting timelines and formats.
- Support parent company SOX 404 compliance, including documentation and testing of key controls at the subsidiary level.
- Oversee the preparation of public company disclosures as they relate to subsidiary operations.
- Participate in audit committee reporting and board-level financial presentations as required.
Government Contracting Finance & Compliance
- Maintain full compliance with Federal Acquisition Regulation (FAR), Defense Federal Acquisition Regulation Supplement (DFARS), and applicable Cost Accounting Standards (CAS).
- Oversee indirect rate structure design, management, and submission to DCAA
- Manage DCAA audit relationships and support audit activities
- Ensure compliance with Controlled Unclassified Information (CUI), CMMC, and applicable data residency requirements as they affect financial systems and processes.
- Oversee B&P (Bid and Proposal) and IR&D tracking and reporting
- Oversee the development of accurate, competitive, and FAR-compliant cost proposals, pricing models, and Basis of Estimate documentation for federal opportunities.
Treasury & Cash Management
- Manage all treasury functions, including cash flow forecasting, liquidity management, and banking relationships.
- Optimize working capital and ensure adequate funding for operational and strategic needs.
- Oversee cash management strategies and coordinate with the parent company on cash positioning and intercompany lending arrangements.
Forecasting & Financial Planning
- Lead financial forecasting processes, including monthly, quarterly, and annual forecasts.
- Develop financial models to support strategic initiatives and growth opportunities.
- Analyze financial trends, risks, and opportunities to support executive decision-making.
- Provide scenario planning and sensitivity analysis for business planning purposes.
- Prepare and present board-level financial dashboards, operating reviews, and management reporting packages.
Retirement Plan Administration (401(k))
- Serve as executive sponsor and fiduciary oversight leader for the company's 401(k) retirement plan.
- Coordinate with third-party administrators, recordkeepers and investment advisors.
- Ensure compliance with applicable retirement plan regulations, reporting requirements, and fiduciary responsibilities.
- Oversee annual audits, nondiscrimination testing, participant communications, and plan governance activities.
- Monitor plan performance and recommend enhancements to support employee retirement readiness.
Insurance & Risk Management
- Oversee the organization's insurance programs, including property, casualty, general liability, workers' compensation, directors and officers (D&O), and other applicable coverages.
- Manage insurance renewals, broker relationships, claims processes, and risk mitigation strategies.
- Evaluate organizational risks and develop policies to protect company assets and operations.
- Ensure adequate coverage and cost-effective insurance solutions.
Proposal and Contract Support
- Support the BD team in the preparation of proposal financial portion of the company offers.
- Support the PM and the BD personnel in managing the financial execution of all contracts and contracts modifications.
Employee Health & Benefits Administration
- Oversee the design, implementation, and administration of employee health and welfare benefit programs.
- Manage relationships with benefit brokers, insurance carriers, and third-party administrators.
- Evaluate benefit plan competitiveness, cost management strategies, and employee satisfaction.
- Ensure compliance with applicable federal, state, and local regulations related to employee benefits.
- Support annual open enrollment processes and benefit communication initiatives.
Compliance & Governance
- Ensure compliance with all applicable financial, tax, retirement plan, insurance, and employee benefits regulations.
- Oversee regulatory reporting requirements.
- Maintain effective internal controls and corporate governance practices.
- Support Board and committee reporting as required.
Team Leadership & Development
- Build, develop, and retain a high-performing finance and accounting organization capable of supporting business growth and increasing complexity.
- Establish clear ownership, accountability, and a culture of continuous improvement across financial operations.
- Mentor and develop direct reports
REPORTING:
- The selected CFO will report to the CEO.
- This role will have direct reports.
QUALIFICATIONS
- Bachelor's degree in Finance, Accounting, Business Administration, or related field required.
- CPA, MBA or additional advanced credential required.
- 10+ years of progressive financial leadership experience, including senior finance or CFO-level responsibilities.
- Prior experience as CFO or senior finance leader within a subsidiary of a public company strongly preferred; familiarity with parent company reporting obligations, SOX compliance, and external audit coordination required.
- Government contracting finance experience required, including working knowledge of FAR/DFARS, indirect rate structures, DCAA compliance, and Cost Accounting Standards (CAS).
- Demonstrated expertise in treasury management, financial forecasting, budgeting, and strategic planning.
- Experience overseeing 401(k) retirement plans and employee benefit programs.
- Strong knowledge of insurance programs, risk management, and regulatory compliance.
- Experience managing banking, investment, broker, auditor, and third-party service provider relationships.
- Strong executive presence with the ability to present effectively to boards and parent company leadership.
