We seek an experienced Senior In-House Counsel to lead legal affairs, focusing on aggressive litigation, MSMED Act enforcement, and contractual risk management. This independent role requires expertise in corporate advisory, dispute resolution, managing external counsel, and liaising directly with law enforcement.

Key Responsibilities:
1. Litigation and Enforcement
- Debt Recovery: Direct aggressive debt recovery strategies, specializing in invoking the MSMED Act (Section 16) to maximize recovery via mandated compound interest.
- Notices & Claims: Draft all external legal correspondence, including Formal Legal Notices outlining MSMED penalties and warning of criminal escalation (IPC 406/409). Prepare and file claims before MSME Councils/Tribunals; manage subsequent conciliation and arbitration.
- Criminal Liaison: Prepare documentation for criminal complaints against debtor directors (IPC/Bhartiya Nyay Sanhita). Act as the primary liaison with law enforcement, handling all police complaints (FIRs), summons, and investigation evidence coordination.
- External Counsel: Manage and audit external litigators to ensure strict alignment with recovery strategy.
2. Corporate & Advisory
- Compliance: Ensure strict adherence to Indian corporate laws (Companies Act, Labour Laws, etc.) and sector-specific regulations. Monitor legislative changes.
- Liability: Advise the Board and Senior Management on minimizing personal liability exposure from statutory defaults and criminal actions.
3. Contract Management
- Drafting: Own the contract lifecycle: drafting, review, and negotiation of complex commercial MSAs, Service Agreements (SAs), Vendor SLAs, and Lease Agreements.
- Security: Draft and validate all critical financial security documents (Promissory Notes, Guarantees), ensuring absolute legal enforceability.
- Integrity: Oversee systematic filing, tracking, and execution of legal documents, maintaining a secure, auditable legal repository.
Required Qualifications
- Education: LL.B. & LLM. from a recognized Indian University/tier 2 college.
- Experience: Minimum 7 years PQE with proven success in high-value commercial litigation, MSMED Act recovery, and direct police/criminal complaint engagement.
- Technical Expertise (Mandatory): Deep working knowledge of MSMED Act (Sec 15/16), NI Act (Sec 138), IPC/Bhartiya Nyay Sanhita, and the Arbitration Act.
Preference: Strong preference for candidates with prior in-house legal and litigation experience within the IT Sector, Telecom Sector, or Technology/Service Provider industries.
