Role Overview

We are looking for a seasoned Senior Manager – Commercial & Contract Management to lead commercial governance, contract execution, and risk management across multiple Special Purpose Vehicles (SPVs).

Role

This is a high-impact individual contributor role, where you will act as the central custodian of all key contracts and commercial frameworks, ensuring alignment across:

  • EPC Contracts
  • Power Purchase Agreements (PPAs)
  • O&M Agreements
  • Shareholder Agreements (SHA)
  • Financing & Lender Documents

You will play a critical role in protecting project value, minimizing risks, and ensuring compliance across a multi-state renewable portfolio.

Key Responsibilities

Commercial Governance (Platform Level)

  • Establish and standardize contract management frameworks across SPVs
  • Develop SOPs for claims management, change-in-law tracking, and compliance reporting
  • Create and manage centralized MIS, dashboards, and risk registers
  • Ensure alignment across EPC, PPA, O&M, and financing obligations

Contract Management (End-to-End)

  • Draft, review, negotiate, and administer:
  • EPC Contracts
  • Supply Agreements
  • PPAs
  • O&M Contracts
  • Manage the entire contract lifecycle from bid stage to project close-out
  • Interpret complex clauses and provide risk-based commercial guidance

PPA Portfolio Management

  • Manage PPAs across multiple states and off-takers
  • Lead change-in-law claims (GST, BCD, safeguard duty, regulatory changes)
  • Ensure compliance with state-level regulatory frameworks

EPC & Construction Oversight

  • Ensure back-to-back alignment between EPC contracts and PPA SCOD timelines
  • Monitor milestones, performance guarantees, and LD exposure
  • Evaluate and settle variation orders and EOT claims
  • Drive commercial close-out and defect liability management

O&M & Asset Commercial Management

  • Standardize O&M contract structures across portfolio
  • Track availability guarantees, PR/CUF performance, and incentives
  • Identify cost optimization and renegotiation opportunities

Financing & Lender Compliance

  • Ensure compliance with project financing agreements (banks/NBFCs)
  • Support refinancing and restructuring initiatives

Claims, Dispute & Risk Management

  • Maintain a portfolio-wide commercial risk register
  • Lead preparation and defense of claims:
  • SCOD extensions
  • Transmission delays
  • Curtailment
  • Manage disputes and arbitration processes
  • Minimize revenue leakage and contractual exposure

Candidate Profile

Experience

  • 10–12+ years in renewable energy / IPP commercial management
  • Strong hands-on experience in:
  • EPC Contracts
  • Supply Agreements
  • Power Purchase Agreements (PPA)
  • Shareholder Agreements (SHA)
  • Lender / Financing Documents
  • Experience managing multi-state SPV portfolios in India
  • Exposure to group captive structures and compliance (mandatory)

Requirements

Qualifications

  • LLB / MBA / Master’s in Finance / Contracts
  • Engineering background preferred

Core Competencies

  • Strong understanding of PPA structures and Indian power regulations
  • Expertise in change-in-law and tariff mechanisms
  • Advanced negotiation and dispute resolution skills
  • Ability to engage with senior leadership, investors, and lenders
  • Strong governance, documentation, and commercial discipline
