As an experienced Corporate Counsel at Cyient Semiconductors, you will be responsible for providing robust legal support and ensuring regulatory and contractual compliance across the EMEA, APAC, and North America (NAM) regions. Your role will involve collaborating closely with cross-functional stakeholders, drafting and negotiating commercial agreements, managing compliance requirements, handling disputes and litigation matters, advising on HR/employment-related legal issues, identifying and mitigating risks, and engaging with stakeholders across multiple jurisdictions.
- *Key Responsibilities:**
- Draft, review, and negotiate various commercial agreements such as outsourced services agreements, vendor agreements, partnership agreements, and reseller agreements.
- Manage both buy-side and sell-side contracting activities and advise on cross-border transactions across EMEA, APAC, and NAM.
- Ensure compliance with regulatory and contractual requirements, including Export Control compliance, by developing policies, procedures, and guidelines.
- Handle disputes and litigation matters in coordination with external counsel and support the Global Legal Head's office on contentious issues.
- Provide advice on HR/employment-related legal matters and support M&A transactions and related due diligence.
- Identify legal and commercial risks, offer pragmatic solutions, and deliver actionable legal recommendations to business leaders.
- Mentor and supervise junior counsels, support proposal drafting and RFP responses, and engage with stakeholders across different regions effectively.
- *Qualifications Required:**
- 3-6 years of post-qualification experience in general corporate law.
- Strong exposure to cross-border commercial transactions.
- In-house experience is preferred but not mandatory.
- Excellent written and verbal communication skills.
- Strong analytical and legal research skills.
- Proficiency with contract management systems and legal tools.
- Keen interest in technology, outsourced engineering services, and data privacy.
