We are seeking a contractor attorney to support our commercial and legal operations as we scale globally.
Role Overview
Axine is seeking an experienced contractor attorney to support the negotiation and execution of a range of commercial agreements, including master services agreements (MSAs), capital equipment sales agreements, licensing agreements, and consulting agreements. This role is highly collaborative and will involve working closely with Axine’s executive, commercial, and technical teams to ensure efficient, commercially sound, and risk-balanced outcomes in negotiations.
Key Responsibilities
- Review, draft, and redline commercial agreements, including MSAs, capital sales agreements, licensing agreements, and consulting agreements
- Provide practical, business-oriented legal advice to Axine’s negotiation team
- Lead or support negotiations with counterparties, including direct interaction with opposing counsel
- Participate in negotiation calls, particularly when counterparties involve legal representation
- Identify key legal and commercial risks and propose mitigation strategies
- Ensure alignment of contractual terms with Axine’s risk tolerance and strategic objectives
- Support development and refinement of standard contract templates and fallback positions
- Advise on jurisdictional, liability, indemnity, and intellectual property considerations
- Collaborate with internal stakeholders to balance legal protection with commercial objectives

- Must maintain appropriate professional liability insurance
Experience & Background
- 5–15+ years of experience in commercial contract law
- Experience negotiating MSAs, equipment sales agreements, and consulting agreements
- Background in industrial, technology, manufacturing, or cleantech sectors preferred
- Experience working with growth-stage companies is a plus
- Familiarity with international contracting (US, Canada, Europe) preferred
- Licensed and in good standing in the United States
