The role provides legal and secretarial support to the organization, enabling effective decision-making and risk mitigation.

Board, Committee & Shareholder Meetings Manage end-to-end coordination of Board, Committee, AGM and EGM meetings, including agenda preparation, minutes, resolutions, and execution of digital/wet/notarised documents.

  • Corporate Governance & Compliance Ensure full compliance with the Companies Act, 2013, applicable rules, corporate laws, and internal policies, acting as the primary custodian of corporate governance for the India entity.
  • Statutory Filings & Regulatory Reporting Oversee timely preparation and filing of statutory returns, financial results, and regulatory forms with ROC, RBI, and other authorities as applicable (quarterly, half-yearly, and annual).
  • Entity Management & Structural Changes Manage changes to legal entities including director appointments/resignations, registered office changes, PoA registrations, and other corporate actions.
  • Audit, Stakeholder & Regulator Liaison Support internal and external audits and act as a key liaison with shareholders, directors, regulators, and internal business teams on all corporate secretarial matters.

Qualifications Qualified Lawyer or finance professional with a minimum of 3 years of relevant work experience, along with a Company Secretarial qualification.

  • Legal & Regulatory Expertise Strong knowledge and in-depth understanding of the Companies Act, 2013 and related corporate governance principles.
  • Corporate Secretarial Experience Prior experience in international corporate administration and/or company secretarial management within a structured corporate environment.
  • Communication Skills Excellent command of English with clarity and confidence in both written and verbal communication, including drafting of legal and corporate documentation.
  • Compliance Mindset & Attention to Detail Highly detail-oriented with a strong passion for compliance, accuracy, and maintaining high governance standards.
  • Stakeholder Management & Technical Skills Ability to build effective working relationships across seniority levels, with strong PC skills and proficiency in MS Word, Excel, and PowerPoint. Able to work independently, calmly and with minimal supervision.
