Job Description
Our client is seeking a highly skilled and experienced Corporate Counsel to join their legal team in Nagpur, Maharashtra . This pivotal role will involve providing comprehensive legal support to the organization across a wide range of corporate matters. The ideal candidate will have a strong understanding of corporate law, contract negotiation, compliance, and litigation management. You will work closely with senior management, advising on legal risks and strategies to ensure the company's operations are conducted in compliance with all applicable laws and regulations.
Key Responsibilities: Draft, review, and negotiate a variety of commercial contracts, including vendor agreements, service agreements, and partnership agreements. Provide legal advice and counsel to senior management and business units on corporate governance, compliance, and regulatory matters. Manage and oversee corporate litigation, including pre-litigation dispute resolution and discovery processes. Conduct legal research and prepare legal memoranda on various issues affecting the business. Assist with mergers, acquisitions, and other corporate transactions. Develop and implement corporate policies and procedures to ensure compliance with legal requirements. Advise on intellectual property matters, including trademark and copyright protection. Handle employment law issues and advise on HR policies. Ensure compliance with data privacy regulations (e.g., GDPR, IT Act). Stay abreast of changes in relevant laws and regulations and advise the company on their impact. Manage external counsel when necessary. Conduct internal investigations and provide recommendations. Qualifications: Juris Doctor (JD) or equivalent law degree from a reputable institution. Admission to the Bar and in good standing. Minimum of 8 years of relevant experience in corporate law, gained either in-house or at a law firm. Proven experience in contract drafting and negotiation. Solid understanding of corporate governance, securities law, and regulatory compliance. Experience with litigation management and dispute resolution. Excellent analytical, research, and writing skills. Strong communication and interpersonal skills, with the ability to explain complex legal issues clearly. High ethical standards and professional integrity. Ability to work independently and manage multiple priorities effectively. Experience working within or advising businesses in relevant sectors is a plus. Must be located in or willing to relocate to Nagpur, Maharashtra , and comfortable with a hybrid work model.
