Role Overview:
You will be joining the Legal Team of the International Solar Alliance (ISA) to provide crucial support in protecting the organization from legal risks, maintaining institutional integrity, ensuring regulatory compliance, managing contracts and partnerships, and advising on legal matters related to operational policies and programmatic support areas.
Key Responsibilities:
- Assess legal and regulatory risks associated with structured financing renewable energy platforms.
- Provide strategic guidance on finance-related legal and regulatory requirements in India.
- Support the design of innovative structured financing instruments under Global Solar Facility (GSF) and Africa Solar Facility (ASF).
- Draft, review, and negotiate legal documents including financing agreements, guarantees, and trust arrangements.
- Provide legal guidance on governance, regulatory compliance, and financial regulatory frameworks.
- Conduct legal due diligence of potential grantees, donors, and financial vehicles.
- Draft, review, and negotiate a broad range of agreements including service agreements, funding agreements, MoUs, and procurement-related contracts.
- Develop standard contract templates and guidelines to ensure legal risk mitigation.
- Contribute to the development of legal frameworks for innovative financing and policy documents.
- Support capacity-building initiatives related to investment structuring.
- Advise on legal risk exposure, support in dispute resolution efforts, and engage with external legal counsel where necessary.
Qualifications Required:
- Advanced university degree (LL.M., J.D., or equivalent) in Law.
- Licensed to practice in India and in good standing with the Indian Bar.
- Minimum 710 years of relevant post-qualification experience in private sector transactional law.
- Demonstrated experience in Infrastructure Investment Trusts (InvITs) is mandatory.
- Proven experience in infrastructure finance, project finance transactions, private equity, and structured finance instruments.
- Desirable experience in renewable energy transactions, familiarity with multilateral legal frameworks, and cross-border transactions.
- Strong knowledge of Indian commercial law, financial sector regulation, and institutional financing structures.
- Analytical skills to assess legal risks, propose mitigation strategies, and manage multiple assignments effectively.
- Strong interpersonal and communication skills to work in a diverse and multicultural environment with integrity and professionalism.
