This is an independent contractor opportunity with The TDL Group Corp. (an affiliate of Restaurant Brands International, the parent company of Tim Hortons, Burger King, Popeyes, and Firehouse Subs), structured as a consulting engagement rather than employment. The contractor will invoice the Company on a bi-weekly basis and be paid by direct deposit within 14 days. The engagement has a defined term of 1 year. As an independent contractor, you will be responsible for your own taxes and insurance. The contractor is expected to be in the RBI office in downtown Toronto five days a week.
The Law Clerk will provide legal support across franchising and real estate for Tim Hortons. Working in close collaboration with the Real Estate Development, Asset Management and Property Management Departments, under the guidance of RBI’s counsel and Senior Law Clerk, the Law Clerk will handle a range of legal responsibilities, supporting multiple facets of the business while upholding a high level of professionalism in a fast-paced environment.
Key Responsibilities:
Real Estate
- Legal Documentation: Draft, review, and interpret real estate documents, including leases, renewals, subleases, licenses, and non-disturbance agreements. Address day-to-day real estate matters like lease issues, rent calculations, environmental concerns, and permit issues. Ensure all documents comply with applicable law and organizational signing authorities.
- Lease Extensions and Amendments: Draft, review, and revise Lease Extension and Amending Agreements (LEAAs) across the commercial portfolio, ensuring all amended terms — including extended term dates, rent adjustments, permitted use provisions, renewal and termination options, and updated schedules — are accurate, legally enforceable, and commercially favourable to TDL and its subtenants. Coordinate the full execution process from initial instruction through to fully executed agreement, managing timelines and follow-up with counterparties. Work cross-functionally with Internal legal counsel, Asset Management, and Operations Teams to gather and incorporate business requirements, assess the commercial impact of proposed lease terms, and ensure that extensions and amendments align with portfolio strategy, operational needs, and subtenant obligations. Flag material landlord positions, non-standard provisions, or unfavourable terms for escalation to counsel and Asset Management prior to execution.
- Lease Administrative Matters: Track, manage, and coordinate the satisfaction of all conditions precedent and subsequent in commercial lease transactions, including tenant’s and landlord’s conditions, due diligence periods, and approval requirements. Prepare and issue condition waiver or satisfaction notices as directed..
- Title Searching and Analysis: Coordinate title searches on commercial properties using provincial land registry systems, including searches of title, executions, and other encumbrances. Review and analyze title search results and registered instruments — including mortgages, charges, liens, easements, restrictive covenants, rights-of-way, and notices — and identify encumbrances, title defects, and issues requiring resolution or further investigation.
- Title Registrations: Coordinate and manage title registrations with external real estate counsel including review of title registration instruments for submission through applicable land registry systems, including transfers, charges, discharges, notices, cautions, postponements, easements, declarations, and other registerable documents. Coordinate obtaining and verifying requisite authorizations, executing parties’ signatures, and confirming post-registration particulars. Coordinate the preparation and registration of discharges, releases, and vacating orders for encumbrances no longer required as part of transaction closings or ongoing portfolio management.
Qualifications:
- Education: Post-secondary degree or diploma in law clerk or paralegal studies, legal administration, or a related field from an accredited college or university.
- Experience: Minimum 5 years of experience in a commercial real estate law firm, in-house legal department, or commercial real estate brokerage with experience in commercial retail real estate.
- Skills: Strong organizational, administrative, and communication skills, with an eye for detail and accuracy in legal drafting.
- Technical Proficiency: Experience with AI tools and comfort working across digital platforms for managing workload.
- Independence & Teamwork: Ability to work independently and as part of a team, managing a high-volume workload and interacting with various business units.
- Professionalism: Capable of handling sensitive matters with discretion and maintaining a professional approach in a dynamic, fast-paced environment.
