Practice Overview:

The M&A team advises clients on a wide range of domestic and cross-border transactions, including public and private M&A, joint ventures, private equity investments, restructurings, strategic alliances, and regulatory approvals. Our clients include Fortune 500 companies, global private equity funds, investment banks, and major Indian conglomerates.

Role Overview:

We are looking to onboard a seasoned Lawyer (Partner Level) in M&A, General Corporate Practice with 12–16 years PQE , with strong transaction execution experience and leadership capabilities. You need to have a portable book, and a team ready to move, this role will involve leading deal teams, managing client relationships, handling negotiations, and providing strategic advisory on complex corporate transactions.

Key Responsibilities:

Transaction Execution:

  • Lead end-to-end execution of M&A, private equity, and joint venture deals (public and private)
  • Draft and negotiate key transaction documents including Share Purchase Agreements (SPA), Shareholders Agreements (SHA), Business Transfer Agreements (BTA), Term Sheets, etc.
  • Conduct legal due diligence and oversee diligence teams and reporting
  • Coordinate with tax, regulatory, competition, and sectoral specialists as required for transaction structuring

Client & Stakeholder Management:

  • Serve as a primary point of contact for clients; manage investor, target company, and counterparty expectations
  • Participate in negotiations and discussions with stakeholders, advisors, and regulators
  • Ensure timely delivery of high-quality advice and documentation

Strategic & Regulatory Advisory:

  • Advise clients on corporate governance, foreign investment, SEBI, RBI, and competition law-related aspects of M&A deals
  • Guide clients through complex deal structuring, regulatory strategy, and post-deal integration

Team Leadership & Development:

  • Mentor and supervise junior associates; provide legal guidance, feedback, and review
  • Contribute to training programs, precedents, and knowledge sharing within the firm
  • Participate in thought leadership initiatives, including authoring articles and speaking engagements

Key Requirements:

  • LL.B. from a premier Indian law school; LL.M. (optional, international exposure preferred)
  • 12-16 years of PQE in top-tier law firm(s), with a strong focus on M&A work
  • Proven track record in leading and closing large, complex transactions across sectors
  • Strong understanding of company law, FEMA, SEBI regulations, FDI policy, and transactional tax considerations
  • Excellent drafting, negotiation, and communication skills
  • Ability to manage teams, drive execution under pressure, and maintain client confidence

Preferred Attributes:

  • Experience working with international clients or in cross-border transactions
  • You must be working with a law firm
  • Sectoral exposure to industries such as financial services, healthcare, energy, technology, infrastructure, etc.
  • Strong commercial acumen and client-focused approach
  • This is not an in-house role
  • High degree of professionalism, ownership, and ethical standards
