Key Responsibilities
Corporate Compliance & Governance
- Ensure compliance with the Companies Act, 2013, SEBI regulations, FEMA, and other applicable statutory laws.
- Maintain and update statutory registers and corporate records in accordance with legal requirements.
- Prepare and file statutory forms, returns, and documents with the Ministry of Corporate Affairs (MCA) and other regulatory authorities.
- Ensure adherence to corporate governance standards and regulatory frameworks.
- Advise senior management and the Board on compliance obligations and governance matters.
Legal Documentation & Contract Management
- Draft, review, and negotiate contracts, agreements, and other legal documentation.
- Ensure all legal documents comply with applicable regulations and company policies.
- Maintain and manage a centralized repository of legal documents for internal stakeholders.
Board & Shareholder Meetings
- Organize and coordinate Board Meetings and General Meetings.
- Prepare agendas, notices, minutes, and board resolutions.
- Ensure statutory compliance related to board and shareholder meetings.
- Act as a liaison between the Board of Directors, shareholders, and regulatory bodies.
Regulatory Liaison & Reporting
- Serve as the primary point of contact with regulatory authorities including MCA, SEBI, and RBI.
- Ensure accurate and timely submission of regulatory filings and compliance reports.
- Track legal and regulatory developments and advise the organization on necessary compliance actions.
Legal Advisory & Risk Management
- Provide legal guidance on corporate matters, contracts, employment law, and internal policies.
- Identify potential legal risks and develop mitigation strategies.
- Support dispute resolution processes and manage litigation matters when required.
Qualifications & Experience
Essential
- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
- Bachelor’s degree in Law (LLB) from a recognized university.
- Minimum 12+ years of post-qualification experience in corporate compliance and legal functions.
- Strong knowledge of Indian corporate laws, including the Companies Act, 2013, SEBI regulations, and FEMA.
- Strong understanding of corporate governance frameworks and regulatory compliance.
Desirable
- Experience working in IT/technology companies or multinational organizations.
- Exposure to international compliance standards and regulatory environments.
- Additional qualifications such as LLM or certifications in corporate governance.

- Ability to work independently and manage multiple priorities.
- Proficiency in legal research and use of legal databases.
Job Types: Permanent, Full-time
Pay: ₹216,237.59 - ₹1,162,364.43 per year
