About the Role
Our law firm client is seeking a highly motivated Junior Associate (2-4 years of experience) to join their nationally recognized Investment Management Group, with a focus on matters under the Investment Company Act of 1940 and related securities laws. This position offers hands‑on experience with registered funds, ETFs, and investment advisers in a practice globally known for its depth and specialization in the asset management industry.
Key Responsibilities:
- Assist with the formation, structuring, registration, and ongoing operations of registered investment companies, including mutual funds, closed‑end funds, and ETFs.
- Draft and review registration statements, prospectuses, SAIs, shareholder communications, and related SEC filings.
- Support the preparation of exemptive applications, responses to SEC comments, and other regulatory submissions for ETFs and registered funds.
- Conduct legal research on '40 Act, Advisers Act, Securities Act, and Exchange Act matters as they relate to fund operations and governance.
- Assist with preparing materials for board meetings, advising on governance requirements, and responding to fund board inquiries.
- Support compliance matters, including review of sub‑advisory agreements, disclosure updates, and fund policies under the Investment Company Act.
- Work directly with investment advisers on ongoing compliance obligations, operational issues, and regulatory developments.
- Communicate regularly with clients (advisers, fund complexes, ETF sponsors, and institutional managers) on legal, regulatory, and operational matters.
- Collaborate with colleagues across the firm's private funds, tax, ERISA, corporate, and regulatory practices to deliver coordinated and efficient counsel.

Candidate Qualifications
- 2-4 years of experience in investment management, securities regulation, or fund‑related work (law firm, SEC, fund complex, or similar).
- Familiarity with the Investment Company Act of 1940, Investment Advisers Act, and related federal securities statutes.
- Strong research, writing, communication, and organizational skills.
- Demonstrated interest in the investment management industry.
- Ability to work collaboratively and interact directly with clients and partners.
