Job Description

Role Summary:

This role focuses on helping startups and raise capital, structure deals, and scale sustainably. The Merchant Banker will act as a bridge between founders, investors, and regulators like SEBI, with strong involvement in early-stage and growth-stage funding.

Responsibilities

1. Startup Fundraising (Core Role)

Lead seed, angel, venture capital, and pre-IPO funding rounds

Prepare pitch decks, financial models, and investor memorandums

Connect startups with angel networks, VCs, and family offices

Support valuation discussions and term sheet negotiations

2. SME Capital Market Access

Manage SME IPOs (NSE Emerge / BSE SME platforms)

Assist with listing readiness, documentation, and compliance

Structure fundraising via private placements and debt

3. Financial Advisory & Strategy

Advise founders on Business structuring, Cap table management, Growth strategy & scalability

Assist in ESOP structuring and financial planning

4. Due Diligence & Valuation

Conduct financial, legal, and business due diligence

Perform startup valuation using DCF (for growth-stage), Comparable transactions, VC method

Identify risks and investment viability

5. Investor Relations

Build and maintain relationships with Angel investors, Venture capital funds, Private equity firms

Manage investor communication and reporting

6. Regulatory & Compliance

Ensure compliance with SEBI regulations, Companies Act, FEMA guidelines (for foreign investments)

Handle documentation for fundraising and reporting

Qualifications & Skills:

Bachelor’s degree in Finance / Commerce / Economics/ MBA (Finance) / CA / CFA preferred.

3–4 years: Startup finance / VC / investment banking.

Prior experience with startup fundraising or SME IPOs is a solid plus

Knowledge of startup ecosystem and funding lifecycle.

Strong financial modeling & startup valuation skills.

Understanding of venture capital ecosystem.

Excellent storytelling & pitch-making ability.

Negotiation and deal-closing skills.

Ability to work with founders in fast-paced environments
