As the Head of Legal & Company Secretarial (Group General Counsel) at our client's fast-growing conglomerate based in NCR/Gurugram, you will play a crucial role in leading the integrated Legal + CS function across multiple entities and joint ventures. You will act as the primary legal advisor to the promoter family, overseeing existing operations and upcoming ventures such as EV JV, NBFC, GCC real estate, and food exports.

• *Key Responsibilities:**
• Act as a strategic legal advisor to promoters and the board on structuring, risk, and governance across the group.
• Design and implement a unified legal, contracts, and compliance framework, including templates, playbooks, and negotiation positions.
• Lead legal work on JVs, M&A, and partner negotiations, with a strong focus on international partners.
• Manage regulatory engagement and external stakeholder relationships with entities such as RBI, SEBI/stock exchanges, MCA, and other sectoral regulators.
• Oversee all litigation and disputes with a prevention-first, early-resolution bias, covering areas such as customs, tax, regulatory, commercial, and employment matters.
• Anchor governance and board support activities, including boards/committees, minutes, filings, policy frameworks, listing readiness, and PE/NCD transactions.
• Build and mentor a small internal legal/CS team while effectively leveraging external counsel.
• *Qualification Required:**
• Law graduate (LL.B) with LL.M preferred.
• Mandatory Company Secretary (CS) qualification for an integrated Legal + CS leadership profile.
• 18-22+ years of total experience, including 8-10+ years in a senior role as Head of Legal / GC / Legal & CS in mid- to large-sized organisations.
• Strong exposure to listed or listing-ready environments, including IPOs, PE, NCDs, SEBI/LODR, and Companies Act.

In addition to the above responsibilities and qualifications, it is crucial that you have industry exposure in auto manufacturing/auto-ancillary or core manufacturing with a strong background in plant operations, OEM contracts, and supply-chain management. Hands-on experience in JV negotiations, especially with Japanese and/or European/Italian partners, is highly desirable.
